Revisions to Chamber By-Laws
The following revisions were made to the Wauconda Area Chamber of Commerce by-laws following unanimous Board approval at the August 8, 2011 Board meeting:
Article IV - MEMBERSHIP
Section 6. Membership Termination
Any member, who is more than 30 days delinquent for any billable fees relating to Chamber events, may be subject to termination by majority vote of the Board of Directors at a regualrly scheduled meeting.
Article VI - BOARD OF DIRECTORS
Section 8. Vote/Affirmation by E-Mail
The Board of Directors has the ability to vote/affirm by electronic mail in lieu of physical attendance at a regularly scheuduled board meeting. For the purpose of electronic voting, a quorum is defined as a majority of the Board of Directors.
A motion for a vote may be made by any Board Officer or Director, and must be directed to the Executive Director. The Executive Director will then electronically call for a second. Once a second is received, the Executive Director will then electronically call for a vote by all Board Members. All Board members must respond within two (2) business days in the form of "yes", "No" or "Abstain." Those persons not responding willl have no vote counted and will be considered "absent" from the vote. Votes will be directed to the Executive Director who will tabulate the results and report to the Board. Revisions to Chamber by-laws excluded from e-mail voting.
